These Terms of Service (“Terms”) govern your access to and use of the website and services provided by Lemma Technologies (“Lemma,” “we,” “us,” or “our”). By using our website or subscribing to our services, you agree to these Terms. If you do not agree, please do not use the service.
1. The service
Lemma provides a managed AI front office service for businesses. This may include an AI receptionist that answers calls, qualifies leads, books appointments, sends reminders and follow-ups, updates connected tools, requests reviews, and generates reports, along with ongoing setup and optimization by our team. We may improve, change, or discontinue features over time.
2. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract to use the service, and you must use it for business purposes. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of any account credentials, and for all activity that occurs under your account.
3. Subscriptions, billing, and cancellation
- The service is offered as a monthly subscription at the price shown on our website, currently $500 per month, unless otherwise agreed in writing.
- Fees are billed in advance on a recurring monthly basis and are charged to your payment method on file.
- There are no long-term contracts. You may cancel at any time, and cancellation takes effect at the end of your current billing period.
- Except where required by law, fees already paid are non-refundable, and partial months are not prorated.
- Any one-time onboarding or implementation fees, if applicable, are non-refundable once implementation work has begun. Monthly subscription fees remain billed in advance and are otherwise governed by the cancellation terms above.
- We may change our pricing on a going-forward basis with reasonable notice before your next billing period.
4. Your responsibilities
You are responsible for how the service is configured and used for your business, and for complying with all laws that apply to your operations. This includes, without limitation:
- Providing accurate business information used to configure the service.
- Complying with laws governing call recording, monitoring, telemarketing, and text messaging, including obtaining any consent required from your callers and recipients.
- Obtaining any legally required consent before automated SMS messages, reminders, follow-ups, or review requests are sent on your behalf. You are responsible for compliance with laws governing text messaging and telemarketing, including, where applicable, the Telephone Consumer Protection Act (TCPA) and similar state laws. The service sends messages only according to your configuration and instructions, and Lemma is not responsible for your failure to obtain required consent.
- Ensuring you have the rights to connect any third-party tools and to share the information you provide to us.
- Reviewing appointments, messages, and information handled on your behalf.
5. Acceptable use
You agree not to use the service to:
- Violate any law or the rights of others.
- Send unlawful, deceptive, harassing, or unsolicited communications.
- Interfere with, disrupt, or attempt to gain unauthorized access to the service or its systems.
- Reverse engineer, resell, or misuse the service except as permitted by these Terms.
6. AI-generated communications
The service uses artificial intelligence to handle conversations on your behalf. We work hard to make it accurate, natural, and helpful, and it improves over time. As with any AI system, it may occasionally misunderstand a request or produce inaccurate information, so you remain responsible for reviewing important actions and communications generated on your behalf.
You are responsible for determining whether applicable laws require callers or recipients to be informed that they are interacting with an AI system. Lemma provides configurable greetings and disclosures that you can enable, but you are solely responsible for deciding whether to use them and for ensuring your configuration complies with the laws that apply to your business.
The service is provided as a tool to assist your business, and we do not guarantee any specific outcome, such as a particular number of booked appointments, leads, or reviews.
7. Third-party services
The service may integrate with third-party products, such as calendars, CRMs, telephony, and messaging providers. Your use of those products is governed by their own terms, and we are not responsible for their availability, performance, or practices.
8. Intellectual property
We and our licensors own all rights in the service, including its software, models, and content, excluding your data and materials. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You retain ownership of the business information and content you provide, and you grant us the rights needed to operate, maintain, and improve the service.
9. Confidentiality
Each party may receive information that is confidential to the other. Each party agrees to protect the other’s confidential information and to use it only as needed to perform under these Terms, except where disclosure is required by law.
10. Disclaimer of warranties
The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.
11. Limitation of liability
To the maximum extent permitted by law, Lemma will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenues, data, or business opportunities. Our total liability arising out of or relating to the service will not exceed the amount you paid to us for the service in the three months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Lemma and its officers, employees, and agents from any claims, damages, and expenses arising out of your use of the service, your business operations, your content, or your violation of these Terms or applicable law, including claims relating to call recording, consent, or communications.
13. Term and termination
These Terms apply while you use the service. You may cancel as described above. We may suspend or terminate access if you breach these Terms, fail to pay, or use the service in a way that risks harm to others or to the service.
We may also immediately suspend or temporarily disable all or part of the service if we reasonably believe that continued operation could create legal risk, create security risk, threaten the integrity or availability of the platform, or harm Lemma, its Customers, or third parties. Where practical, we will act reasonably, give notice, and restore access once the issue is resolved. Provisions that by their nature should survive termination will survive.
14. Force majeure
Neither party will be liable for any delay or failure to perform its obligations (other than payment obligations) caused by events beyond its reasonable control, including internet outages, cloud provider outages, telecommunications failures, utility failures, natural disasters, government actions, labor disputes, and cyberattacks or other events outside its reasonable control. The affected party’s obligations are suspended for the duration of the event rather than permanently excused, and it will resume performance as soon as reasonably practicable.
15. Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the service will be resolved exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of those courts, unless applicable law provides otherwise.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide notice. Your continued use of the service after an update means you accept the revised Terms.
